Welcome to Zodmo. These Terms of Service (“Terms”) govern your access to and use of the Zodmo website, mobile application, and related services (collectively, the “Platform”) operated by Zodmo Technologies Private Limited (“Zodmo,” “we,” “our,” or “us”). By accessing or using Zodmo, you agree to be bound by these Terms.

1. About Zodmo

Zodmo is a local online marketplace that enables users to buy, sell, rent, discover, and promote products and services. Zodmo may also offer optional paid promotional or featured listing packages for businesses and sellers.

2. Eligibility

You must be legally capable of entering into a binding agreement to use the Platform. If you use Zodmo on behalf of a business or organization, you represent that you are authorized to accept these Terms on its behalf.

If you are under the age required by applicable law to form a binding contract, you may use the Platform only with the involvement and consent of a parent or legal guardian.

3. User Accounts

You may be required to create an account to access certain features of the Platform. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to provide accurate, current, and complete information and to update it when necessary. We reserve the right to suspend or terminate accounts that contain false, misleading, or incomplete information.

4. Marketplace Role

Zodmo provides a platform that allows users to post listings and connect with each other. Unless expressly stated otherwise, Zodmo is not the owner, seller, reseller, agent, broker, delivery provider, employer, or service provider for the items or services listed by users.

Zodmo does not guarantee the quality, safety, legality, accuracy, availability, condition, delivery, or suitability of any listing, product, rental, job, or service offered by users. Transactions are entered into directly between users at their own risk.

5. Listings and User Content

You are solely responsible for the listings, photos, descriptions, prices, messages, reviews, profile information, and other content you post or upload to the Platform (“User Content”).

By posting User Content, you represent and warrant that:

  • you own or have the necessary rights to post it;
  • it is accurate and not misleading;
  • it does not violate any law, regulation, contract, or third-party right;
  • it does not contain defamatory, obscene, fraudulent, or harmful material.

You grant Zodmo a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, adapt, and use your User Content for operating, improving, promoting, and securing the Platform.

6. Prohibited Conduct

You agree not to:

  • post false, deceptive, or misleading listings;
  • sell, rent, or promote illegal, stolen, counterfeit, unsafe, or prohibited goods or services;
  • infringe any intellectual property, privacy, publicity, or other rights;
  • harass, abuse, threaten, impersonate, or defraud other users;
  • upload viruses, malicious code, or attempt unauthorized access to the Platform;
  • scrape, copy, or misuse Platform data without authorization;
  • circumvent moderation, verification, payment, or security systems;
  • use the Platform for unlawful, abusive, or fraudulent purposes.

7. Transactions Between Users

Zodmo is not a party to agreements, negotiations, or disputes between users unless specifically stated otherwise. Users are solely responsible for verifying the identity, authenticity, ownership, condition, pricing, legality, and suitability of any item or service before completing a transaction.

We strongly recommend that users exercise caution, communicate clearly, inspect goods or services, and follow safe meeting and payment practices.

8. Pricing, Paid Features, and Promotions

Basic use of the Platform may be free, but certain premium services, including featured listings or promotional packages, may be offered for a fee. All fees, billing terms, durations, and feature details will be disclosed at the time of purchase.

Unless otherwise stated, fees paid for promotional services are non-refundable once the service has been activated or delivered. Zodmo may update pricing or discontinue paid features at any time.

9. Moderation and Removal

Zodmo reserves the right, but is not obligated, to monitor, review, refuse, edit, disable, or remove any listing, message, account, or User Content at our discretion, including where we believe it violates these Terms, applicable law, or platform safety standards.

We may also suspend or terminate access to the Platform without prior notice where necessary to protect users, comply with law, or maintain Platform integrity.

10. Intellectual Property

All rights, title, and interest in and to the Platform, including its branding, logos, design, text, graphics, software, and other materials, are owned by or licensed to Zodmo, except for User Content owned by users.

You may not copy, reproduce, distribute, modify, reverse engineer, or create derivative works from any part of the Platform except as permitted by law or with our prior written consent.

11. Privacy

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, store, and disclose personal information. By using Zodmo, you acknowledge that you have read our Privacy Policy.

12. Third-Party Services

The Platform may contain links to third-party websites, tools, payment providers, maps, communications services, analytics providers, or external content. Zodmo is not responsible for the availability, accuracy, practices, or terms of any third-party service.

13. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Zodmo disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

We do not guarantee that the Platform will always be secure, available, accurate, or free from bugs, delays, loss, or harmful components.

14. Limitation of Liability

To the fullest extent permitted by law, Zodmo, its directors, officers, employees, affiliates, and partners shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunity, or other intangible losses arising out of or related to your use of the Platform.

To the extent liability cannot be excluded, Zodmo’s total liability for claims arising out of or relating to the Platform shall be limited to the amount you paid to Zodmo, if any, in the twelve (12) months preceding the event giving rise to the claim.

15. Indemnity

You agree to defend, indemnify, and hold harmless Zodmo and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses arising out of or related to your User Content, your use of the Platform, your transactions with other users, or your breach of these Terms.

16. Termination

You may stop using the Platform at any time. We may suspend, restrict, or terminate your account or access at any time if we believe you have violated these Terms, created risk for users, or exposed Zodmo to legal or operational harm.

Sections that by their nature should survive termination will remain in effect, including sections relating to intellectual property, disclaimers, liability, indemnity, disputes, and general legal provisions.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Subject to applicable law, the courts having jurisdiction in Kohima, Nagaland shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Platform.

18. Changes to These Terms

We may update these Terms from time to time. Updated Terms become effective when posted on the Platform unless otherwise stated. Your continued use of the Platform after any update constitutes your acceptance of the revised Terms.
